Form 1122 is a short consent form. A subsidiary corporation signs it to authorize being included in its parent group’s consolidated income tax return for the first year it joins.

What is 1122?

When an affiliated group of corporations elects to file a single consolidated return, each subsidiary must consent to be included. Form 1122 is that consent: the subsidiary authorizes the common parent to include it in the consolidated return and to act as its agent for the tax. The parent attaches the signed form to the group’s consolidated Form 1120 for the first tax year the subsidiary is included.

The form is needed only once per subsidiary, for its first consolidated year. In later years, continuing inclusion in the group’s return serves as ongoing consent. The group also reports its membership each year on Form 851, Affiliations Schedule.

  • Newly acquired members of an existing consolidated group in their first included year

How to fill out 1122

  1. Enter the subsidiary corporation’s name, address, and EIN at the top of the form.
  2. Enter the common parent corporation’s name and EIN.
  3. Have an authorized officer of the subsidiary sign and date the consent, with their title.
  4. Download the completed PDF and give it to the common parent.
  5. The parent attaches it to the group’s consolidated income tax return for the first year the subsidiary is included; nothing is filed separately.

Does Form 1122 have to be filed every year?

No. It is attached to the consolidated return only for the first tax year the subsidiary is included in the group. After that, the subsidiary’s continued inclusion acts as its consent.

How does Form 1122 differ from Form 851?

Form 1122 is a one-time consent signed by each new subsidiary. Form 851, the Affiliations Schedule, is filed with the consolidated return every year and lists all members of the group, their stock ownership, and tax payments.
