What is 2220?

Form 2220, Underpayment of Estimated Tax by Corporations, is used by corporations, certain tax-exempt organizations subject to unrelated business income tax, and private foundations to determine whether they are subject to the underpayment penalty and to compute the amount for each period.

Most corporations do not have to file it because the IRS can figure the penalty and bill them. Filing is generally required when the corporation uses the adjusted seasonal or annualized income installment method, or is a large corporation basing its first installment on the prior year’s tax.

How to fill out 2220

  1. Complete Part I with the tax shown on the corporation’s return to find the required annual payment.
  2. Check the boxes in Part II if the corporation uses the adjusted seasonal method, the annualized method, or is a large corporation.
  3. In Part III, enter the installment due dates and payments to figure the underpayment for each period.
  4. Use Part IV, and Schedule A if an installment method applies, to compute the penalty for each underpaid period.
  5. Download the PDF, attach it to the corporation’s income tax return, and enter the penalty on the return’s designated line.

Frequently asked questions

Does every corporation with a balance due file Form 2220?

No. If none of the special situations apply, the corporation can let the IRS figure the penalty and send a bill. The form is required mainly when an installment method is used or the large corporation rule applies.

What counts as a large corporation here?

Generally one with taxable income of at least one million dollars in any of the three preceding tax years, as defined in the instructions. Large corporations can only use the prior year’s tax for their first installment.

Which return does Form 2220 attach to?

It attaches to the corporation’s income tax return, such as Form 1120 or Form 1120-S, or to Form 990-T for exempt organizations with unrelated business income tax.
