What is 7203?

S corporation shareholders can only deduct their share of losses to the extent of their basis in the company’s stock and in loans they personally made to it. Form 7203 formalizes that computation: Part I walks stock basis through the year, increasing it for income and contributions and decreasing it for distributions and losses, Part II does the same for shareholder loans, and Part III allocates allowed and disallowed losses item by item.

The form attaches to the shareholder’s individual return, not the corporation’s. Losses that exceed basis are not lost; they carry forward and appear on next year’s Form 7203 until basis is restored. Basis limits are only the first hurdle, since at-risk and passive activity rules can further limit what reaches the return.

  • S corporation shareholders claiming a deduction for their share of the corporation’s losses
  • Shareholders who received a distribution, sold or disposed of stock, or received a loan repayment from the corporation
  • Shareholders with loss carryovers from prior years that were limited by basis
  • Anyone whose Schedule K-1 from Form 1120-S reflects items requiring a basis computation

How to fill out 7203

  1. Start with your stock basis at the beginning of the year, from last year’s Form 7203 or your own records.
  2. In Part I, add income items, capital contributions, and excess depletion from your Schedule K-1, then subtract distributions and nondeductible expenses in the ordering the form prescribes.
  3. In Part II, track the basis of any loans you personally made to the corporation, including repayments and restoration.
  4. In Part III, list each loss and deduction item, apply your available stock and debt basis, and split each item between allowed and carryover amounts.
  5. Download the completed PDF and attach it to your Form 1040 with the return that reports the K-1 items.

Frequently asked questions

Do I have to file Form 7203 every year?

Only in years where it is required: generally when you claim a loss or deduction from the S corporation, receive a distribution, dispose of stock, or receive a repayment on a loan you made to the company. Keeping it updated every year anyway makes the required years much easier.

What happens to losses that exceed my basis?

They are suspended, not forfeited. Disallowed amounts carry forward indefinitely and become deductible in a later year once contributions, income, or loan repayments restore your basis.

Does my S corporation file this form for me?

No. Basis is tracked at the shareholder level, so each shareholder prepares their own Form 7203 from their Schedule K-1 and personal records and attaches it to their individual return.
