What is 8975?
Form 8975, Country-by-Country Report, is filed by certain U.S. persons that are the ultimate parent entity of a U.S. multinational enterprise group with annual revenue of $850 million or more for the preceding reporting period. It implements the country-by-country reporting standard developed under the OECD BEPS project.
The main form identifies the reporting entity, and a separate Schedule A (Form 8975) is completed for each tax jurisdiction where the group operates, showing revenues, profit, taxes paid and accrued, employees, and assets, plus a list of the constituent entities in that jurisdiction. The IRS exchanges the data with other tax authorities under international agreements.
Who files 8975?
- U.S. ultimate parent entities of multinational groups with prior-year revenue of $850 million or more
- Corporations, partnerships, and other business entities that head such a group
- Parents filing voluntarily for early reporting periods to satisfy foreign filing obligations
- Groups below the revenue threshold do not file
How to fill out 8975
- Identify the ultimate parent entity on Form 8975, including its EIN and the reporting period.
- Prepare a Schedule A (Form 8975) for every tax jurisdiction where the group has constituent entities, plus one for entities with no tax jurisdiction.
- On each Schedule A, report revenues (related and unrelated party), profit or loss, income tax paid and accrued, stated capital, accumulated earnings, employees, and tangible assets.
- List each constituent entity in the jurisdiction with its main business activities.
- File the form and schedules with the parent’s income tax return for the year; it is not filed on its own. Download the finished PDF for your workpapers.

Frequently asked questions
When is Form 8975 due?
It is attached to the ultimate parent entity’s timely filed income tax return, including extensions, for the tax year that includes the reporting period. It cannot be filed separately from the return.
Who sees the data?
The IRS exchanges country-by-country reports with tax administrations in jurisdictions that have competent authority arrangements with the United States. The report is for risk assessment and is not a substitute for transfer pricing documentation.
What if our group operates in a country with no income tax?
You still complete a Schedule A for that jurisdiction. Entities that have no tax jurisdiction of residence at all are grouped on their own stateless Schedule A.
