What is Schedule N (Form 1120)?

Schedule N (Form 1120), Foreign Operations of U.S. Corporations, is a short questionnaire attached to a corporate income tax return when the corporation had assets in, or operated a business in, a foreign country or a U.S. possession during the tax year. It asks about foreign ownership interests, foreign disregarded entities, foreign branches, and related international filings.

The schedule itself is mostly yes-or-no questions. Its main job is to flag which of the more detailed international forms the corporation also needs, such as Form 5471 for controlled foreign corporations or Form 8858 for foreign disregarded entities and branches.

Who files Schedule N (Form 1120)?

  • U.S. corporations filing Form 1120 that owned assets in a foreign country or U.S. possession during the year
  • Corporations that operated a trade or business outside the United States, directly or through a branch
  • Corporations with interests in foreign partnerships, foreign disregarded entities, or foreign trusts
  • Corporations answering yes to the foreign activity questions on the Form 1120 schedules

How to fill out Schedule N (Form 1120)

  1. Enter the corporation’s name and EIN as shown on Form 1120.
  2. Answer the questions about foreign ownership: controlled foreign corporations, foreign partnerships, and foreign disregarded entities or branches.
  3. Report the number of related international forms you are attaching, such as Forms 5471 or 8858, where the schedule asks.
  4. Complete the questions about foreign financial accounts and activity in U.S. possessions.
  5. Download the finished PDF and file it with Form 1120, together with any international forms your answers require.

Frequently asked questions

Does Schedule N replace forms like 5471 or 8858?

No. Schedule N is a summary questionnaire. If its questions apply, you generally still must attach the detailed international forms, and the penalties for skipping those forms can be significant.

My corporation only exported goods but had no foreign office. Do I need Schedule N?

Simply selling to foreign customers from the United States usually does not trigger Schedule N by itself. It applies when the corporation had assets in or operated a business in a foreign country or U.S. possession. Check the current instructions if you are close to the line.
