What is 1065?

Form 1065, U.S. Return of Partnership Income, is the information return partnerships file to report their income, gains, losses, deductions, and credits for the year. The partnership itself generally pays no income tax; profits and losses pass through to the partners, who report their shares on their own returns.

Each partner’s share is detailed on a Schedule K-1 (Form 1065) filed with the return and furnished to the partner. Supporting schedules include Schedule B for questions about the partnership, Schedules K and L for totals and the balance sheet, and Schedules K-2 and K-3 for items of international relevance.

Who files 1065?

  • Domestic partnerships, including general partnerships, limited partnerships, and LLPs
  • Multi-member LLCs taxed as partnerships, which is the default for LLCs with two or more members
  • Certain foreign partnerships with U.S. income or U.S. partners, as described in the instructions
  • Not for single-member LLCs (disregarded entities) or entities that elected corporate taxation

How to fill out 1065

  1. Fill in the partnership’s name, EIN, address, business activity, and accounting method in the header.
  2. Report trade or business income and deductions on page 1 to reach ordinary business income or loss.
  3. Answer the Schedule B questions about ownership, elections, and filing requirements.
  4. Complete Schedule K with the partnership’s total income, deductions, and credits, then balance Schedules L, M-1, and M-2 if required.
  5. Download the PDF, prepare a Schedule K-1 for each partner, and file by the due date in the current instructions, generally the 15th day of the third month after the year ends. Many partnerships are required to e-file.

Does a partnership pay income tax with Form 1065?

Generally no. Form 1065 is an information return. Income and losses pass through to the partners via Schedule K-1, and each partner pays tax on their share on their own return, whether or not cash was actually distributed.

When is Form 1065 due?

Generally the 15th day of the third month after the partnership’s tax year ends, which is March 15 for calendar-year partnerships. Form 7004 provides an automatic extension of time to file.

Does a husband and wife LLC have to file Form 1065?

Often yes, since a multi-member LLC defaults to partnership treatment. Spouses in community property states, or those who elect qualified joint venture status for an unincorporated business, may have other options described in the instructions.
