What is 5472?

Form 5472, Information Return of a 25% Foreign-Owned U.S. Corporation or a Foreign Corporation Engaged in a U.S. Trade or Business, provides the information required under sections 6038A and 6038C. It is filed when a reporting corporation has reportable transactions, such as sales, rents, royalties, loans, or service payments, with a foreign or domestic related party.

Foreign-owned U.S. disregarded entities, such as a single-member LLC owned by a foreign person, are also treated as reporting corporations for this form and generally file it attached to a pro forma Form 1120. A separate Form 5472 is required for each related party with reportable transactions.

How to fill out 5472

  1. Complete Part I with the reporting corporation’s identifying information, total assets, and principal business activity.
  2. Identify the 25 percent foreign shareholders and the related party covered by this form in the following parts.
  3. Report the monetary amounts of each type of reportable transaction with that related party, using reasonable estimates where the instructions allow.
  4. Repeat the process on a separate Form 5472 for each additional related party.
  5. Download the completed PDF and attach it to the corporation’s income tax return, or to the pro forma Form 1120 for a foreign-owned disregarded entity, by the return due date including extensions.
