What is 941?
Form 941 reports each quarter’s wages, tips, federal income tax withheld, and the employer and employee shares of Social Security and Medicare taxes, then reconciles those liabilities against the deposits you made through the quarter. Monthly or semiweekly depositors show their liability schedule on the form or on Schedule B (Form 941).
It is due the last day of the month after each quarter ends: April 30, July 31, October 31, and January 31.
Who files 941?
- Employers who pay wages subject to income tax withholding or FICA
- Every quarter once you have filed a first 941, even for quarters with no payroll, until you file a final return
- Not household or agricultural employers, who use Schedule H or Form 943, and not tiny employers invited onto the annual Form 944
How to fill out 941
- Fill in your EIN and the quarter you are reporting.
- Report employee count, total wages, and federal income tax withheld in Part 1.
- Compute Social Security and Medicare on the taxable wage lines.
- Reconcile total tax against your deposits; note any balance due or overpayment.
- Complete the deposit schedule section, download, sign, and file by mail or use the figures for e-filing.

What if I made no payroll this quarter?
File anyway with zeros, unless you are a seasonal employer who checked the seasonal box or you have filed a final return.
Can I pay the balance with the form?
A small balance within the limits can be paid with Form 941-V by check or online; regular payroll taxes must be deposited on schedule through EFTPS, not paid with the return.
