What is Formulier 12?
A company in formation has no board yet, but somebody signs for it. Form 12 registers that person, along with the extent of their authority, so third parties can see who they are dealing with.
The same form registers a co-owner of an eenmanszaak, for example a spouse who shares ownership. The officer can be a person, a partnership or a legal entity.

- Sole traders registering a co-owner
- Anyone who signs contracts for a company that is still being incorporated
How to fill out Formulier 12
- Give the KVK number, or file this together with form 7 for a new company in formation.
- Fill in the details of the officer, including the burgerservicenummer and address.
- Give the role and the start date as dd-mm-yyyy.
- Describe the authority, including any limit on it.
- Print, sign in pen, and send the form with a copy of the ID document named.

What happens to this registration after incorporation?
The i.o. registration ends and the incorporated company registers its directors on form 11. The change to the entity itself goes on form 15.
Am I personally liable while the company is i.o.?
Generally yes, until the incorporated company confirms the agreements you signed. That is worth knowing before you sign anything substantial.
