What is Formulier 19?
When shares are issued but not fully paid, the holder still owes the company the unpaid part. The Handelsregister records who those holders are so that creditors can see where the outstanding capital sits.
A holder can be a person or a legal entity, and the form asks for identifying details and for the number and class of the shares concerned.
Who files Formulier 19?
- An nv with shares issued but not fully paid up
- A Europese naamloze vennootschap (SE) in the same position
- A Europese cooperatieve vennootschap (SCE) registering such holders
How to fill out Formulier 19
- Give the KVK number of the company.
- Fill in the details of each shareholder, person or entity.
- State the shares held and how much of the nominal value remains unpaid.
- Give the date from which this applies, as dd-mm-yyyy.
- Print, sign in pen, and send the form to KVK.

Does a bv register its shareholders here?
No. A bv registers only a sole shareholder, on form 11. This form is for partly paid shares in an nv, SE or SCE.
What happens once the shares are paid in full?
The registration no longer applies and the change is reported so the register stays accurate.
