What is Formulier 23?
An SE is a public company under European law. It can move its seat between member states without being wound up, which is why groups operating across the EU use it. Registration happens in the country where the seat sits.
Form 23 records the company, its statutory name, activities, seat and capital, and covers an SE that takes over and continues an existing business.

How to fill out Formulier 23
- Give the statutory name and the date of incorporation or seat transfer, as dd-mm-yyyy.
- Describe the activities and give the trade name if it differs.
- Enter the seat, the visiting address and the contact details.
- Complete the capital questions and the questions on employee involvement.
- Print, sign in pen, and file it with form 11 for the officers and form 30 for the UBOs.

Frequently asked questions
Can we convert our nv into an SE?
The European regulation allows several routes into the SE, including conversion of a public company that has had a subsidiary in another member state for at least two years. The registration itself still runs through this form.
What about the employee involvement arrangement?
An SE cannot be registered until the arrangement on employee involvement is settled, and the form asks about it for that reason.
