What is Formulier 24?
An SCE is the cooperative counterpart to the SE: a European legal form for members from different member states working together, able to move its seat within the EU.
The form registers the SCE itself, and also covers one that takes over and continues an existing business or branch in the Netherlands.
Who files Formulier 24?
- Members incorporating an SCE with a Dutch seat
- An existing SCE moving its seat to the Netherlands
- An SCE continuing a business it has taken over
How to fill out Formulier 24
- Give the statutory name and the date of incorporation or seat transfer, as dd-mm-yyyy.
- Describe the purpose and the activities.
- Enter the seat, visiting address and contact details.
- Complete the capital and membership questions, and those on employee involvement.
- Print, sign in pen, and file it with form 11 for the officers and form 30 for the UBOs.

How many members does an SCE need?
The European regulation sets a minimum and requires a cross-border element. Check the current requirement before incorporating, since it drives the whole structure.
Is this the same as a Dutch cooperatie?
No. A Dutch cooperatie is registered on form 4. The SCE is a European form with its own rules.
