What is Formulier 4?
A cooperatie is a members association set up by notarial deed that enters into agreements on behalf of its members. An onderlinge waarborgmaatschappij is its insurance equivalent. Both are legal entities and both must appear in the Handelsregister.
Form 4 registers the entity itself, including its statutory name, activities and addresses, and also covers a cooperative that takes over and continues an existing business or branch.

- A newly incorporated cooperatie registering on paper
- An onderlinge waarborgmaatschappij registering for the first time
- A cooperative continuing a business it has taken over
How to fill out Formulier 4
- Say whether this is a new registration or a continuation and give the date as dd-mm-yyyy.
- Enter the statutory name and any trade name, and describe what the cooperative does.
- Give the visiting and postal addresses and the contact details.
- Answer the questions about members liability, which the deed will set out.
- Print, sign in pen, and file it with form 11 for the officers and form 33 for the UBOs.

What is the difference between the liability types?
The deed states whether members carry statutory liability, limited liability or no liability at all, shown as WA, BA or UA after the name. The form asks you to copy across what the deed says.
Do the members go on this form?
No. Members are not registered. The officers go on form 11 and the ultimate beneficial owners on form 33.
