What is Formulier 31?
A foundation has no members and no shares, so its UBOs are found in control rather than ownership: the people who can appoint or dismiss the majority of the board, who hold more than a quarter of the assets, or who otherwise exercise effective control.
One copy registers up to four UBOs. Where the foundation is already in the Handelsregister, report UBOs online at kvk.nl/ubo instead.
Who files Formulier 31?
- Newly registered foundations
- Foundations whose board or control structure has changed
- Boards that cannot use the online UBO service
How to fill out Formulier 31
- Give the KVK number of the foundation, or file this with form 5.
- For each UBO give the name, date and place of birth, nationality, address and burgerservicenummer.
- Say on what basis the person is a UBO and from what date, as dd-mm-yyyy.
- Enclose the supporting documents the form lists.
- Print, sign in pen, and send the package to KVK.

Then the senior managing officials, usually the board, are registered as pseudo-UBOs. Every foundation has UBOs to report on one basis or the other.
Does an ANBI have to report UBOs?
Yes. Charitable status does not exempt a foundation from the UBO obligation.
